Version 20 September 2026 — operational draft pending final legal review.
1. Scope and platform role
These rules apply whenever a user publishes a request, a company submits an offer, the parties exchange protected messages or an offer is accepted. HD Online provides the workflow, records and support tools but is not automatically a party to the underlying product or service contract.
2. Requester declaration
The requester confirms that the need is genuine and lawful; the category, location, radius, scope, quantities, description and attachments are accurate; uploaded materials may lawfully be shared with eligible suppliers; and no prohibited contact information or malicious content is included. A request does not promise that any offer will be accepted. Material changes after offers arrive should be made transparently and may require a new request.
3. Supplier declaration
The supplier confirms that it has an active eligible category, authority, permits, capacity and insurance needed for the offer. Price, currency, tax, quantity, scope, exclusions, delivery time, validity and commercial terms must be clear. Unless expressly marked otherwise and permitted by the request, the submitted offer is capable of acceptance during its validity period. Misleading, speculative or coordinated offers are prohibited.
4. Protected identity and communications
Before acceptance, requester identity and direct contact data remain hidden as indicated. Neither party may place contact data in text, images, filenames or attachments to bypass the platform. Messages and permitted files must relate to the request. The parties must preserve confidential and personal data and may download or forward it only where necessary for the transaction and legally permitted.
5. Acceptance and contract
The requester reviews the offer summary and confirms acceptance through the designated control. Acceptance records the selected offer and reveals contact information according to the workflow. The underlying contract is between requester and supplier on the accepted offer, request specifications, recorded clarifications and any mandatory law. HD Online records the version and time but does not independently warrant either party’s performance.
6. Delivery, completion and dispute
The supplier marks delivery or service completion only after performance. The requester may confirm, request correction or raise a reasoned objection through the available process. The parties must preserve evidence and cooperate in good faith. HD Online may facilitate communication, protect platform records and apply account measures, but does not issue a court judgment or technical expert determination unless separately agreed in writing.
7. Safety, legality and responsibility
Parties remain responsible for product safety, professional standards, employment, tax, customs, sanctions, export, consumer, warranty, intellectual-property and data-protection rules applicable to the transaction. Illegal goods, unsafe services, bribery, collusion and discriminatory conditions are prohibited.
8. Records and privacy
Requests, offer versions, acceptance, messages, attachments, status changes and dispute records may be retained as contractual evidence and for security, legal claims and compliance. Access is role-based and administrators may inspect records for support, security and compliance but may not alter the parties’ commercial messages.
9. Incorporation and law
By checking the request-publication or offer-submission box, the relevant party accepts the current version of these rules. The User Agreement, Privacy Notice and mandatory law also apply. The platform relationship is governed by Swiss law and the forum clause in the User Agreement; the parties may agree lawful terms for their underlying contract.
