Platform Terms of Use and User Agreement

Rules governing HD Online accounts, requests, offers, messaging, company profiles and use of the platform.

Version 20 September 2026 — operational draft pending final legal review.

1. Operator and scope

HD Online is operated by INFOAUTO SA, Rue des Saars 131, 2000 Neuchâtel, Switzerland ("HD Online", "we"). These terms apply to visitors, individual members, company users, requesters and suppliers using the website and its panels. By opening an account or using a protected function, you agree to these terms and the documents expressly referred to in them.

2. Nature of the platform

HD Online is a digital request, quotation, company-directory and professional networking platform. It is not an online shop and does not itself sell the products or services advertised, requested or offered by users. Unless HD Online expressly signs a separate written agreement, the contract for a product or service is concluded directly between the requester and the selected supplier. Each party remains responsible for its offer, performance, taxes, permits, warranties and legal obligations.

3. Eligibility and accounts

Users must be at least 18 years old and legally capable of entering into the relevant agreement. Company users confirm that they are authorised to act for their organisation. Registration data, contact details and company information must be complete and current. Accounts are personal; passwords and verification codes must be protected. Suspected unauthorised access must be reported without delay.

4. Verification and company status

HD Online may request identity, company, tax, authorisation or compliance documents and may approve, reject, suspend or request corrections to a profile. Verification is a platform control and is not a guarantee of solvency, professional quality, legal compliance or future performance. Users must perform their own commercial and legal due diligence.

5. Requests, offers and confidentiality

Requests and offers must be accurate, lawful and placed in the correct category. Requester identity and direct contact details may remain hidden until an offer is accepted. Before acceptance, users must not bypass this protection by placing phone numbers, email addresses, links or other identifying information in descriptions, filenames, images, messages or attachments. The Request, Offer and Marketplace Rules form part of these terms.

6. Acceptable use

Users must not impersonate another person, mislead other users, manipulate prices or reviews, send spam, upload malware, scrape the platform, probe security, infringe intellectual property, publish unlawful or discriminatory material, or use HD Online to evade sanctions, export controls, tax, employment, consumer, product-safety or professional rules. Files may be scanned, restricted or removed for security and compliance reasons.

7. User content and rights

You retain your rights in the text, images, catalogues and other material you upload. You grant HD Online a non-exclusive, worldwide, royalty-free licence for the duration of your account and any necessary retention period to store, reproduce, translate, resize and display that material solely to operate, secure and promote the relevant platform functions. You confirm that you have the rights and permissions needed for every upload.

8. Category memberships and payments

Some company functions require approved, paid or campaign-based category membership. The applicable price, currency, term and campaign end date are shown before an order is submitted. Category approval does not by itself activate paid access. The Membership Agreement and Membership Purchase and Payment Terms apply in addition to these terms.

9. Availability and changes

We aim to keep the platform secure and available but do not promise uninterrupted or error-free operation. Maintenance, security incidents, third-party failures or force majeure may affect access. We may improve, replace or discontinue functions where reasonably necessary and will communicate material changes when appropriate.

10. Suspension and termination

Users may stop using the service and request account closure, subject to open transactions, legal retention duties and the rights of other parties. HD Online may restrict or suspend an account where information is false, payment is overdue, documents expire, security is at risk or these terms or applicable law are breached. Where reasonable, the user will be informed and given an opportunity to respond.

11. Liability

To the extent permitted by mandatory law, HD Online is liable only for direct loss caused intentionally or by gross negligence. HD Online is not responsible for a user's statements, products, services, delivery, solvency or off-platform conduct, or for indirect loss, lost profit or lost opportunity. Nothing in these terms excludes liability that cannot lawfully be excluded, including mandatory consumer protections.

12. Governing law and disputes

Swiss substantive law applies, excluding conflict-of-law rules, subject to mandatory rights that apply to a consumer or data subject. The courts at the registered seat of INFOAUTO SA in Neuchâtel have jurisdiction, unless mandatory law provides another venue. Users should first contact [email protected] so that an operational solution can be attempted.

13. Contact and changes to these terms

Questions may be sent to INFOAUTO SA at [email protected]. Material amendments will be dated and communicated through the platform or by email. If renewed acceptance is legally or operationally required, the relevant function will remain unavailable until the new version is accepted.
